Terms of Service

The agreement between you and Zebu HQ LLC for use of the Zebu platform.

These Terms of Service ("Terms") are a binding agreement between you and Zebu HQ LLC ("Zebu," "we," "us," or "our") governing your access to and use of the Zebu web application, websites, APIs, and related services (collectively, the "Service"). By creating an account, clicking "I agree," or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

If you do not agree to these Terms, do not use the Service.

1. The Service

Zebu is a field service management platform that helps service businesses manage leads, clients, quotes, scheduling and dispatch, jobs, invoicing, payments, recurring work, reporting, and related workflows. Features, functionality, and plan limits may change over time.

2. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract.
You must provide accurate, current, and complete information when you register and keep it up to date.
You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your login credentials. Notify us promptly at hello@getzebu.com if you suspect unauthorized access.
The account owner is responsible for managing team members' access and permissions and for their compliance with these Terms.

3. Free Trial

We may offer a free trial of the Service (currently 14 days, no payment method required). At the end of the trial, access to paid features stops unless you start a paid subscription. We may modify or discontinue trials at any time.

4. Subscriptions, Billing, and Payment

Plans and fees. Paid access is offered on a subscription basis. Fees for each plan are shown at sign up and on our pricing page and are charged in advance on a recurring monthly basis.
Payment processor. Subscription payments are processed by Stripe. By subscribing, you authorize us and Stripe to charge your payment method for all applicable fees until you cancel.
Automatic renewal. Subscriptions renew automatically at the end of each billing period at the then current rate unless you cancel before the renewal date.
Cancellation. You may cancel at any time through your account's billing settings. Cancellation takes effect at the end of the current billing period; you retain access until then.
Refunds. Except where required by law, fees are non refundable and we do not provide refunds or credits for partial billing periods, unused features, or downgrades.
Price changes. We may change subscription fees. We will give you at least 30 days' notice before a price change affects you, and the change takes effect on your next renewal. Continuing to use the Service after a price change takes effect constitutes acceptance of the new price.
Taxes. Fees are exclusive of taxes. You are responsible for any sales, use, VAT, or similar taxes, excluding taxes on our net income.
Late or failed payment. If a charge fails, we may retry it and may suspend or terminate your access if payment is not received.

5. Customer Payments Processed Through the Service

The Service lets you request and accept payments from your own customers via Stripe and Stripe Connect. When you use these features:

You are the merchant of record for payments from your customers. You are responsible for the goods and services you sell, for customer support, refunds, chargebacks, disputes, and for compliance with the Stripe Connected Account Agreement and applicable card network and legal rules.
Zebu may charge a platform fee on payments processed through the Service, disclosed to you before you enable the feature.
Zebu is not a bank, money transmitter, or payment processor and does not hold or control your funds. Payment processing is provided by Stripe under its own terms.

6. Third Party Services and Integrations

The Service integrates with third party products, including QuickBooks Online (Intuit), Xero, Stripe, Google (including Google Business Profile), email delivery providers, and mapping and routing providers.

Your use of any third party service is governed by that provider's own terms and privacy policy, not these Terms.
When you connect a third party account, you authorize Zebu to access, use, store, and process data from that service only as needed to provide the features you have enabled (for example, syncing invoices, payments, customers, and time entries with QuickBooks Online or Xero).
You represent that you have the right to connect each account and to share the associated data with Zebu.
You may disconnect an integration at any time in your settings or from within the third party service. Disconnecting stops future syncing; data already exchanged is handled as described in our Privacy Policy.
We are not responsible for the availability, accuracy, or acts or omissions of any third party service.

7. Your Data

Ownership. As between you and Zebu, you retain all rights to the data you and your users submit to the Service and the data imported through connected integrations ("Your Data").
License to us. You grant Zebu a worldwide, non exclusive license to host, copy, process, transmit, and display Your Data solely to operate, maintain, secure, support, and improve the Service and as otherwise permitted by our Privacy Policy.
Responsibility. You are responsible for the accuracy, quality, and legality of Your Data and for having the necessary rights and consents to provide it, including consent from your own clients and staff whose information you enter.
Aggregated or de identified data. We may create and use aggregated or de identified data that does not identify you or any individual to operate and improve the Service and our business.
Export and deletion. While your account is active you can export key data through the Service. After termination we will delete or de identify Your Data within a commercially reasonable period, except for backups and records we are required or permitted to retain, as described in the Privacy Policy.

8. Acceptable Use

You agree not to, and not to allow anyone to:

use the Service in violation of any law or third party right, or to store or transmit unlawful, infringing, defamatory, or harmful content;
send spam or unsolicited messages, or use the Service's email or messaging features in violation of anti spam laws (for example, CAN-SPAM, CASL, GDPR);
upload malware or interfere with, disrupt, or attempt to gain unauthorized access to the Service, its infrastructure, or other users' accounts or data;
reverse engineer, decompile, or attempt to extract source code from the Service, except to the extent that restriction is prohibited by law;
resell, sublicense, or provide the Service to third parties as a service bureau without our written consent;
use the Service to build a competing product, or scrape or bulk export data other than through features we provide;
misrepresent your identity or affiliation, or use the Service for fraudulent purposes.

We may investigate suspected violations and may suspend or terminate access for conduct we reasonably believe violates these Terms or harms the Service, other users, or third parties.

9. Intellectual Property

The Service, including its software, design, text, graphics, and trademarks (including "Zebu"), is owned by Zebu HQ LLC or its licensors and is protected by intellectual property laws. We grant you a limited, non exclusive, non transferable, revocable right to access and use the Service during your subscription term for your internal business purposes, subject to these Terms. No rights are granted except as expressly stated.

10. Feedback

If you send us suggestions or feedback about the Service, you grant us a perpetual, irrevocable, royalty free license to use it without restriction or obligation to you.

11. Service Availability and Changes

We aim to keep the Service available but do not guarantee uninterrupted or error free operation. We may modify, suspend, or discontinue features, or perform maintenance, at any time. We will use reasonable efforts to notify you of material adverse changes.

12. Beta Features

We may offer features identified as beta, preview, or early access. These are provided "as is," may be changed or withdrawn at any time, and are excluded from any service commitments.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT DATA WILL BE ACCURATE OR PRESERVED WITHOUT LOSS, OR THAT ANY INTEGRATION OR THIRD PARTY SERVICE WILL FUNCTION WITHOUT INTERRUPTION OR ERROR. ZEBU IS NOT A PROVIDER OF ACCOUNTING, TAX, LEGAL, OR FINANCIAL ADVICE, AND YOU ARE RESPONSIBLE FOR VERIFYING ALL FINANCIAL AND TAX RECORDS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
ZEBU'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO ZEBU FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

15. Indemnification

You will defend, indemnify, and hold harmless Zebu HQ LLC and its officers, employees, and agents from and against any third party claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Your Data; (b) your use of the Service in violation of these Terms or applicable law; (c) your goods or services sold to your customers; or (d) your violation of any third party right, including the terms of any connected integration.

16. Term and Termination

These Terms apply while you have an account or use the Service.
You may terminate by canceling your subscription and closing your account.
We may suspend or terminate your access immediately if you materially breach these Terms, fail to pay, or if required by law, or on 30 days' notice for convenience.
On termination, your right to use the Service ends. Sections that by their nature should survive (including 4 for accrued fees, 5, 7, 9, 10, 13, 14, 15, 17, and 18) will survive.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Georgia, without regard to its conflict of laws rules. The state and federal courts located in Chatham County, Georgia will have exclusive jurisdiction over any dispute not subject to arbitration, and each party consents to that jurisdiction and venue.

Any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Each party waives any right to a jury trial and to participate in a class action.

18. General

Entire agreement. These Terms, together with the Privacy Policy and any order or plan details, are the entire agreement between you and Zebu regarding the Service.
Changes to these Terms. We may update these Terms. If a change is material, we will provide notice (for example, by email or in app) before it takes effect. Continued use after the effective date constitutes acceptance.
Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
No waiver. Our failure to enforce a provision is not a waiver.
Severability. If a provision is held unenforceable, the rest remains in effect.
Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
Relationship. The parties are independent contractors. These Terms create no partnership, joint venture, agency, or employment relationship.
